Notice is hereby given that by an order dated the 09.03.2017, the Hon’ble Division Bench, Chennai of the National Company Law Tribunal had dispensed with the Meeting of the Equity Shareholders of Author Café Private Limited (hereinafter referred to as the Said Company). With regard to Secured/Unsecured Creditors, since the Said Company does not have any Secured/Unsecured Creditors, the Hon’ble Division Bench, held that there was no requirement for any order for dispensing with the Meeting of Creditors in relation to the Said Company, for the purpose of considering, and if thought fit, approving with or without modification, the Scheme of Arrangement of Demerger that is proposed to be made between the TNQ Books & Journal Private Limited (Demerged Company) and TNQ Technologies Private Limited (1^st Resulting/Transferee Company) and Said Company and their Respective Shareholders and Creditors.

Copies of the said Scheme of Arrangement of Demerger and the Statement under Section 230 of the Companies Act, 2013 can be obtained free of charge at the Registered Office of the Said Company situate at Plot Nos. 4/600 and 4/197, Phase 2, Dr. Vikram Sarabhai Instronic Estate, Kottivakkam, Chennai – 600 041.
